It is a special 2-part potentiometer that (pretty much) maintains the same impedance at all settings of the pot. These devices are usually wire-wound, and much larger than the pot on say, a Fender Strat. If you have a tweeter adjustment knob on your PA cab, and you feel a little vibration as you turn the knob, it's probably an L-pad. If a tweeter is too efficient to match the woofer, an L-pad can be used to adjust it.

... and you can succeed with all directions, too. It's just that the recipe is different. In the case of a crossover design with one amp, the woofer efficiency must be matched to the tweeter efficiency (or the tweeter + L-pad). In the case of bi-amping, the {woofer power x efficiency} must match the {tweeter power x efficiency }. A lot of this is try and see.
